General Terms and Conditions

1. Introductory Provisions

1.1. These General Terms and Conditions (hereinafter the “GTC”) govern the contractual relationship between Permamodul, operated by:

(hereinafter the “Seller” or the “Contractor”),

and its customers, clients or business partners (here inafter the “Buyer” or the “Client”).

1.2. The GTC form an integral part of every purchase agreement, contract for work, or any other agreement concluded between the Seller and the Buyer, unless the parties have expressly agreed otherwise in writing.

1.3. By signing a contract, confirming an order, or paying an agreed advance payment, the Buyer declares that they have read, understood, and fully accepted these GTC.

2. Subject of Performance

2.1. The Seller designs, manufactures, delivers, and installs ecological modular mobile homes and related products or services.

2.2. The specific scope of performance, technical specifications, materials used, delivery deadlines, and price shall always be set out in a written contract, confirmed order, or invoice issued by the Seller.

3. Orders and Conclusion of Contract

3.1. A contractual relationship shall be deemed concluded upon:

  • signature of a written contract by both parties; or
  • written confirmation of the order by the Seller; or
  • payment of the agreed advance payment by the Buyer.

3.2. The Seller reserves the right to refuse an order, particularly if:

  • performance is technically impossible;
  • necessary materials are unavailable;
  • he Buyer fails to provide required cooperation or documentation;
  • other serious reasons prevent performance.

4. Price and Payment Terms

4.1. Prices are individually agreed and stated in the contract or order confirmation. Unless expressly stated otherwise, prices are quoted in euros, exclusive of VAT, customs duties, transportation costs, or other applicable charges.

4.2. The Buyer undertakes to pay the price as follows:

  • Advance Payment: 50% of the agreed price upon signing the contract (unless otherwise agreed).
  • Interim Payments: according to the agreed schedule (typically 30% and 10% after completion of specific construction stages).
  • Final Payment: 10% upon completion of the modular house, prior to handover to the carrier.

4.3. In case of payment delay, the Seller is entitled to suspend work, postpone delivery, and claim statutory default interest and damages.

5. Delivery and Installation

5.1. Delivery terms follow Incoterms® 2020, unless otherwise agreed in writing.

5.2. The delivery period will be specified in the contract. The Seller will not be liable for delays caused by:

  • force majeure (natural disasters, wars, epidemics, strikes, export/import restrictions, etc.);
  • delays of suppliers, carriers, or customs authorities;
  • lack of Buyer cooperation (permits, payments, technical documentation, site access).

5.3. The risk of damage or accidental loss of goods transfers to the Buyer upon fulfilment of the agreed delivery terms in accordance with Incoterms® 2020:

  • DAP (Delivered at Place): for deliveries outside the European Union; the Seller delivers the goods to the agreed place of destination; risk transfers upon delivery, while customs clearance and import duties remain the Buyer’s responsibility.
  • DDP (Delivered Duty Paid): for deliveries within the European Union; the Seller will deliver goods to the agreed destination and bear all costs and risks, including customs duties and taxes, prior to delivery to the Buyer.

5.4. Assembly and construction work will be carried out by the Seller or authorized subcontractors. The Buyer ensures site readiness, access for machinery, and necessary utility connections, unless agreed otherwise.

6. Warranty and Liability

6.1. The Seller provides a warranty for modular houses and their components as agreed in the contract, typically 24 months from handover, unless otherwise specified.

6.2. The warranty does not cover:

  • normal wear and tear;
  • improper use or negligent maintenance;
  • damage caused by third parties, natural events, or unauthorized interventions.

6.3. The Seller will not be liable for indirect or consequential damages (e.g., loss of profit, costs of alternative housing, delayed use), unless expressly agreed otherwise.

7. Withdrawal and Cancellation

7.1. Due to the custom-made nature of modular houses, the Buyer has no right to unilaterally withdraw from the contract once production has started, except as provided by mandatory consumer protection laws.

7.2. If the Buyer cancels the order before completion, the Seller is entitled to:

  • retain an advance payment as compensation, and
  • claim additional proven costs and damages.

7.3. The Seller may withdraw from the contract if the Buyer materially breaches their obligations, especially by failing to pay the price or provide necessary cooperation.

8. Data Protection

8.1. The Seller processes personal data of the Buyer in compliance with the General Data Protection Regulation (EU) 2016/679 (GDPR) and applicable national data protection laws.

8.2. The purpose of processing includes contract performance, invoicing, communication with the customer, and compliance with legal obligations.

8.3. Detailed information is provided in the Seller’s Privacy Policy published on the Seller’s website.

9. Governing Law and Dispute Resolution

9.1. These GTC and all contractual relationships between the Seller and the Buyer will be governed by and construed in accordance with the laws of the Slovak Republic, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

9.2. Mandatory consumer protection provisions of the country of the Buyer’s habitual residence will remain unaffected.

9.3. The parties will endeavour to resolve disputes amicably. If no settlement is reached, disputes will be submitted to the competent courts of the Slovak Republic, unless mandatory law provides otherwise.

10. Final Provisions

10.1. Any amendments or modifications to these GTC must be in writing.

10.2. The invalidity or unenforceability of any provision will not affect the validity of the remaining provisions.

10.3. These GTC will become effective on 1 September 2025 and are published on the website www.permamodul.com.
